Meveridge — TERMS OF USE

1. Definitions and Interpretation

In these Terms of Use ("Terms"), the following definitions shall apply unless the context requires otherwise:

• "Platform" means the Meveridge digital investment platform, including all web interfaces, mobile-optimized versions, APIs, AI-driven services, built-in messenger, and any associated applications or tools provided by Meveridge.

• "Company," "Meveridge," "we," "us," or "our" refers to the legal entity operating the Meveridge platform.

• "User," "you," or "your" means any individual or legal entity that registers, accesses, or uses the Platform.

• "Account" means the personal investment account created by a User upon registration on the Platform.

• "USDT" means Tether, a stablecoin pegged to the United States Dollar, which serves as the primary operational currency of the Platform.

• "Investment Plan" or "Plan" refers to any structured investment product offered through the MIDAS section of the Platform, including but not limited to Bridge Basic, Bridge Magnet, Bridge Premium, and Real Sector Catalog opportunities.

• "Daily Yield" means the percentage-based return credited to a User's active investment on each business day.

• "Lock Time" or "Lock Period" means the mandatory period during which an investment principal cannot be withdrawn.

• "IP" (Investor Points) means the personal turnover metric that reflects the cumulative value of a User's investments. IP accumulates proportionally over the working time of the investment during its Lock Time.

• "TV" (Team Volume) means the aggregate team turnover metric calculated from the deposits of partners in the first five referral lines with a declining coefficient (L1: 100%, L2: 75%, L3: 50%, L4: 25%, L5: 10%).

• "Investor Status" means the tiered classification system (from BRONZE to LEGEND) determined solely by a User's accumulated IP.

• "Leader Rank" means the tiered classification system within the MENTOR program (from AGENT to LEGEND) determined by the simultaneous fulfillment of IP, TV, and Active Direct requirements.

• "MENTOR Program" means the Platform's affiliate and referral network system.

• "Active Direct" or "Direct Partner" means a first-line referral partner who maintains an active investment with a minimum qualifying deposit.

• "Security Score" means the internal safety rating of a User's Account (0–100 points), calculated by the AI GUARD system.

• "Coupons" means bonus enhancement modifiers that can be applied to various aspects of a User's platform experience.

• "Voting Right" means the equal voting privilege granted to each User with an active investment in the VOTE HUB. Each eligible User has one (1) vote per topic, regardless of deposit size or status.

• "AI Systems" means the proprietary artificial intelligence engines operated by the Platform, including AI MENTOR, AI MIDAS, AI ORACLE, AI GUARD, AI JOKER, and AI LUMI.

• "Available Balance" means the portion of a User's funds that is available for withdrawal or reallocation.

• "Invest Balance" means the portion of a User's funds actively allocated to working investment plans.

2. Acceptance of Terms

2.1. By registering an Account, accessing any section of the Platform, or using any of the services provided herein, you expressly acknowledge that you have read, understood, and agree to be legally bound by these Terms, together with our Privacy Policy, AML & CFT Policy, Risk Disclosure, Cookie Policy, Refund & Cancellation Policy, Affiliate Program Agreement, and Acceptable Use Policy (collectively, the "Agreement").

2.2. If you do not agree to any provision of these Terms, you must immediately cease using the Platform and close your Account.

2.3. These Terms constitute a legally binding agreement between you and Meveridge. Your continued use of the Platform following any amendments to these Terms shall constitute acceptance of such amendments.

2.4. You represent and warrant that you have the legal capacity and authority to enter into this Agreement. If you are acting on behalf of a legal entity, you represent that you are duly authorized to bind such entity to these Terms.

3. Eligibility and Registration

3.1 Age and Legal Capacity

You must be at least eighteen (18) years of age and legally capable of entering into binding agreements under the laws of your jurisdiction of residence. Meveridge reserves the right to request proof of age at any time.

3.2 Jurisdictional Restrictions

The Platform does not accept registrations from, and does not provide services to, citizens or residents of countries listed on the Financial Action Task Force (FATF) High-Risk (Black) List, or jurisdictions subject to comprehensive sanctions imposed by the United Nations, the European Union, or the United States Office of Foreign Assets Control (OFAC). It is your sole responsibility to determine whether your use of the Platform is lawful in your jurisdiction.

3.3 One-Account Policy

Each User is permitted to register and operate one (1) Account only. The creation, maintenance, or use of multiple accounts by the same individual (commonly referred to as "multi-accounting") is strictly prohibited. Meveridge reserves the right to merge, suspend, or permanently terminate all accounts associated with a single individual and to confiscate any funds, commissions, or bonuses derived from multi-accounting activity.

3.4 Registration Process

To create an Account, you must provide a valid email address, a mobile phone number for SMS verification, and complete the basic profile information requested during the onboarding process. Additional verification may be required pursuant to our tiered KYC procedures (see Section 12).

3.5 Account Credentials

You are solely responsible for maintaining the confidentiality of your login credentials, including your password and two-factor authentication (2FA) codes. You agree to immediately notify Meveridge of any unauthorized access to or use of your Account.

4. Description of the Platform and Services

4.1. Meveridge operates as a digital investment bridge ("Investment Bridge"), connecting private investor capital with operational assets in the real sector of the economy. The Platform facilitates investment into physical, revenue-generating projects across multiple industries, including but not limited to gold mining, solar energy, agriculture, oil & gas, lithium extraction, precious metals & gemstones, fintech, VIP real estate, coal mining, and global infrastructure.

4.2. The Platform is organized into six primary hubs:

• MIDAS (Investments): The investment hub where Users deposit funds, select investment plans, track Daily Yield, manage wallets, and analyze portfolio performance.
• MENTOR (Affiliate Program): The referral network system where Users manage their team structure, track commissions, advance through Leader Ranks, access built-in training in the personal dashboard, and utilize marketing tools.
• LUMI (Knowledge & Analytics): The informational section providing news, educational materials, industry reports, a comprehensive knowledge base, and regulatory updates.
• VOTE (Governance): The governance section where Users with an active investment exercise their democratic voting right — one person, one vote per topic — to participate in platform development decisions, vote on new projects, and contribute to the roadmap.
• MESSENGER (Communication): Built-in encrypted messenger with direct messages, team chats, thematic channels, and dedicated AI assistant chats.
• JOKER (Gamification): The entertainment hub offering mini-games, Daily Spin, team challenges, internal gaming currency, and real financial bonuses.

4.3. The Platform also integrates a Certificate system and a Coupon-based enhancement system.

5. Investment Plans and Mechanics

5.1 Bridge Basic (Starter Plan)

Bridge Basic is designed for beginner investors seeking to familiarize themselves with the Platform's mechanics without committing to rigid Lock Periods.

• Minimum Investment: $25
• Maximum Investment: $500
• Daily Yield: 0.40%
• Lock Period: None. Principal withdrawal is available at any time without penalties.

5.2 Bridge Magnet

Bridge Magnet is a high-yield plan designed for experienced investors seeking maximum returns over extended horizons.

• Minimum Investment: $1,000
• Maximum Investment: $100,000
• Lock Period: 160 to 420 days, selected by the User upon plan activation.
• Daily Yield: 2.00% to 5.00%, calculated using the formula: Base Rate (2%) + Term Bonus (up to +1.5%) + Amount Bonus (up to +1.5%).

5.3 Bridge Premium (Compound Plan)

Bridge Premium is a high-yield compound plan designed for long-term capital multiplication.

• Minimum Investment: $1,000
• Maximum Investment: $100,000
• Daily Yield: 2.00% Daily Compound
• Lock Period: 200 accruals (FIXED)
• IP Accrual: Hybrid — IP is credited from both the initial deposit amount and daily accruals.
• Weekend Rule: Monday through Friday, profits are compounded into the deposit principal (capitalization). Saturday and Sunday, profits are directed to the Available Balance and are not subject to compounding.
• Stabilization Fund: Payouts are made from the Stabilization Marketing Fund, a reserve of excess profits generated from real-sector operations. This model eliminates the dependency of payouts on new user deposits.

5.4 Real Sector Catalog

Direct investment into verified real-economy enterprises. Yields from 0.5% per day and above. The catalog is continuously updated — new opportunities are validated by the Meveridge team, AI ORACLE analytics, and community governance in the VOTE HUB.

5.5 General Investment Provisions

5.5.1. All investments on the Platform are denominated and transacted in USDT (Tether).

5.5.2. Daily Yield accruals are processed on business days (Monday through Friday). The first accrual occurs on the next business day following plan activation.

5.5.3. Meveridge does not guarantee fixed or absolute returns. Daily Yield rates are dynamically calculated based on the performance of real-sector partner operations and the liquidity of the Stabilization Marketing Fund. Please refer to the Risk Disclosure for further details.

6. Investor Status System

6.1 IP (Investor Points) Accumulation

Investor Points (IP) represent the cumulative investment volume that has passed through a User's deposits. IP accumulates proportionally over the working time of the investment during its Lock Period — it is not credited instantly at the moment of deposit.

Example: A $3,000 deposit in a plan with a 30-day Lock Period accrues $100 IP per day. After 30 days, the User will have accumulated 3,000 IP.

6.2 Status Tiers and Yield Bonus

Each Investor Status tier automatically activates a permanent Yield Bonus applied to the User's base Daily Yield rate:

6.3 Independence from Team Metrics

Investor Statuses are determined exclusively by the User's personal deposits (IP). They are entirely independent of team size, Team Volume (TV), or the MENTOR affiliate program.

7. MENTOR Affiliate Program

7.1 Program Overview

The MENTOR Program is a multi-level referral network that rewards Users for introducing new investors to the Platform and for building an active team structure. Participation in the MENTOR Program is voluntary.

7.2 Leader Ranks

Leader Ranks are determined by the simultaneous fulfillment of three criteria:

1. IP (Investor Points): Personal investment volume, accumulating proportionally during Lock Time.
2. TV (Team Volume): Aggregate team turnover calculated from deposits of partners in the first five referral lines with a declining coefficient: L1 = 100%, L2 = 75%, L3 = 50%, L4 = 25%, L5 = 10%.
3. Active Directs: The number of active first-line referral partners maintaining a minimum qualifying deposit.

7.3 Rank Permanence

All achieved Leader Ranks are permanent and non-reversible. Once a rank qualification is met, the rank cannot be downgraded, unless the User's activity is determined to be fraudulent (e.g., multi-accounting, fictitious registrations).

7.4 Referral Commissions

Commissions are credited instantly upon each new deposit or upgrade made by a partner within the User's structure. The commission rate and depth of accessible levels depend on the User's current Leader Rank:

7.5 Mentor Assignment

The assignment of a User to their upline mentor is permanent from the moment of registration and cannot be changed under any circumstances.

7.6 Compliance Requirements

All MENTOR Program participants must comply with the Affiliate Program Agreement and the Acceptable Use Policy. Prohibited practices include but are not limited to: spamming, making misleading income claims, impersonating Meveridge officials, and using deceptive advertising techniques.

9. Withdrawal Conditions

9.1 Daily Withdrawal Limits

Withdrawal limits from the Invest Balance to the User's Wallet are calculated as a percentage of the User's total active investments per day, determined by their Investor Status:

The following fees apply to all withdrawal transactions:

9.3 Transaction Rules

• Minimum Transaction Amount: $10
• Maximum Transaction Amount: The User's remaining daily limit (Daily Limit minus amounts already withdrawn in the preceding 24-hour period).
• Number of Transactions: Unlimited per day.
• Processing Time: All withdrawal requests are processed within 1 to 48 hours. Processing times may vary based on the User's Security Score, network congestion, and compliance review requirements.

9.4 Lock Period Restrictions

Funds committed to investment plans with active Lock Periods (Bridge Magnet, Bridge Premium, Real Sector Catalog) cannot be withdrawn prematurely. Users must wait until the expiration of the applicable Lock Period before the principal becomes available for withdrawal.

10. Coupons Enhancement System

10.1. The Platform operates an enhancement system called Coupons. Coupons are special bonus modifiers that temporarily or permanently augment various aspects of a User's platform experience.

10.2. Available Coupon types include, but are not limited to:

• Yield Boost: Temporary increase to Daily Yield on the active plan.
• Fee Discount: Reduced withdrawal commission.
• IP Multiplier: Accelerated Investor Points accumulation.
• Commission Boost: Increased referral commission for a specified period.
• Lock Time Reduction: Shortened deposit Lock Period.

10.3. Coupons may be obtained through the JOKER section, achievement of Investor Statuses or Leader Ranks, participation in promotional events, or completion of training modules in the personal dashboard.

10.4. Meveridge reserves the right to modify, discontinue, or introduce new Coupon types at any time without prior notice.

11. JOKER Entertainment Section

11.1. JOKER is the Platform's entertainment hub, offering interactive mini-games, daily activities, bonus mechanics, and an internal gaming currency.

11.2. Available features include mini-games with prize opportunities, Daily Spin / Wheel of Fortune, themed Challenges with rewards, and a competitive Leaderboard with periodic prizes.

11.3. The JOKER section utilizes its own internal gaming currency, which can be earned through platform activities, exchanged for Coupons and enhancements, and used to participate in exclusive giveaways.

11.4. The JOKER section is intended for entertainment purposes. Participation is voluntary and does not affect the User's investment performance, Investor Status, or Leader Rank.

11.5. Meveridge reserves the right to modify the rules, prizes, and mechanics of any JOKER activity at any time.

12. KYC Verification

12.1 Tier 1: Basic Check

Requirements: Email confirmation, phone confirmation (SMS), and completion of the basic profile.
Access: Deposits up to $5,000/month.

12.2 Tier 2: Identity Verification

Requirements: Upload of a government-issued identification document (passport, national ID card, or driver's license) and a Live Selfie with Liveness Check.
Access: Deposits up to $50,000/month.

12.3 Tier 3: Enhanced Due Diligence (EDD)

Requirements: Proof of Address (utility bill or bank statement, dated within the last 3 months) and Source of Funds documentation (income certificate, tax return, or equivalent).
Access: Unlimited deposits.

12.4 Verification Integrity

Meveridge reserves the right to request additional documentation or re-verification at any time. Submission of falsified or fraudulent documents will result in immediate Account termination and forfeiture of all associated funds.

13. VOTE HUB and Governance

13.1. The VOTE HUB enables Users to participate in platform governance decisions through a democratic voting mechanism.

13.2. Who Can Vote: Any User with at least one active investment on the Platform has the right to vote. One person — one vote per topic. No exceptions, no weighted scales, no special privileges. All votes carry equal weight, regardless of deposit size, Investor Status, or Leader Rank.

13.3. Voting eligibility requires at least one active investment on the Platform at the time of the vote. If all investments expire or are withdrawn, the voting right is suspended until a new investment is activated.

13.4. Each active voting proposal is accompanied by an analytical assessment from the AI ORACLE system, providing a data-driven recommendation ("FOR" or "AGAINST") with supporting rationale. AI ORACLE recommendations are advisory only and do not bind the User's vote.

13.5. Meveridge reserves the right to determine which proposals are subject to community vote and which operational decisions remain at the sole discretion of management.

14. User Responsibilities

14.1. You are responsible for ensuring that your use of the Platform complies with all applicable laws and regulations in your jurisdiction.

14.2. You acknowledge and accept full responsibility for maintaining the security of your Account, including but not limited to: enabling two-factor authentication (2FA), setting up an Anti-Phishing Code, and safeguarding your login credentials.

14.3. You are solely responsible for reporting and paying any applicable taxes in your jurisdiction related to income, profits, or capital gains generated through the Platform.

14.4. You agree to provide accurate, current, and complete information during the registration and KYC verification processes and to update such information promptly if it changes.

14.5. You acknowledge that all investment decisions are made voluntarily and at your own risk.

15. Prohibited Activities

You agree NOT to:

15.1. Create, maintain, or operate more than one Account (multi-accounting).

15.2. Provide false, inaccurate, or misleading information during registration, KYC verification, or any communication with the Platform.

15.3. Attempt to circumvent, disable, or interfere with the AI GUARD security system or any other security features of the Platform.

15.4. Engage in, facilitate, or support money laundering, terrorist financing, or any other illicit financial activity.

15.5. Use automated scripts, bots, or crawlers to access or interact with the Platform without prior written authorization.

15.6. Spread false, misleading, or defamatory information about Meveridge, its employees, partners, or AI systems.

15.7. Use spam or unsolicited communications containing your referral link or promotional content about the Platform.

15.8. Attempt to exploit software vulnerabilities, bugs, or glitches in the Platform for personal gain.

15.9. Engage in market manipulation, collusion, or any activity designed to artificially inflate IP, TV, or other platform metrics.

15.10. Use the Platform's Messenger, Team Chat, or Channels for purposes that violate the Acceptable Use Policy, including harassment, hate speech, or distribution of illegal content.

16. AI Systems and Automated Decision-Making

16.1. The Platform utilizes proprietary AI systems to enhance the User experience, optimize investment strategies, monitor security, and facilitate governance. These systems include:

• AI MENTOR: Affiliate program advisory and team strategy.
• AI MIDAS: Investment portfolio analysis and financial recommendations.
• AI ORACLE: Risk assessment, voting analysis, and market expertise.
• AI GUARD: Account security, anomaly detection, and Security Score management.
• AI JOKER: Entertainment section assistant and gaming mechanics.
• AI LUMI: Knowledge base navigation, FAQ, and information aggregation.

16.2. AI-generated recommendations are provided for informational purposes only and do not constitute financial, legal, or investment advice. Users are advised to exercise independent judgment before acting on any AI-generated suggestion.

16.3. AI GUARD may make automated decisions regarding account freezing, transaction blocking, or additional verification requirements based on behavioral analysis and risk profiling. Users who believe they have been incorrectly flagged may submit an appeal to the compliance team at [email protected].

16.4. Meveridge continually develops and updates its AI systems. Features, capabilities, and behaviors of AI systems may change without prior notice.

17. Intellectual Property

17.1. All content, features, functionality, software, code, AI models, graphics, logos, trademarks, designs, data structures, and documentation associated with the Platform are the exclusive intellectual property of Meveridge or its licensors.

17.2. Users are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for its intended purposes and in accordance with these Terms.

17.3. Users may not reproduce, distribute, modify, reverse engineer, decompile, or create derivative works from any part of the Platform without prior written consent from Meveridge.

17.4. Content provided through the Marketing Kit is licensed for use strictly in connection with promoting the Meveridge Platform. Users must adhere to the brand guidelines provided therein.

18. Limitation of Liability and Indemnification

18.1 Limitation of Liability

18.1.1. The Platform operates in conjunction with third-party liquidity channels, external blockchain networks, and real-sector market conditions. While historical performance data and AI-driven stabilization models are designed to minimize risks, Meveridge does not guarantee the absolute preservation of capital.

18.1.2. To the maximum extent permitted by applicable law, Meveridge, its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, or loss of goodwill, arising from or related to your use of the Platform.

18.1.3. Meveridge's total aggregate liability to you for any claims arising under or relating to these Terms shall not exceed the amount of funds deposited by you on the Platform during the twelve (12) months preceding the claim.

18.1.4. Meveridge shall not be liable for any losses resulting from force majeure events, including but not limited to natural disasters, pandemics, wars, government actions, regulatory changes, blockchain network failures, or cyberattacks.

18.2 Indemnification

You agree to indemnify, defend, and hold harmless Meveridge and its affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from or related to: (a) your breach of these Terms; (b) your violation of any applicable law or regulation; (c) your negligence or willful misconduct; or (d) any third-party claim arising from your use of the Platform.

19. Dispute Resolution

19.1. In the event of a dispute arising out of or relating to these Terms, the parties agree to first attempt to resolve the matter through good-faith negotiation. A written complaint may be submitted to [email protected], and Meveridge shall endeavor to respond within fourteen (14) business days.

19.2. If the dispute cannot be resolved through negotiation within thirty (30) days of the initial complaint, the parties agree to submit the dispute to binding arbitration administered by an internationally recognized arbitration institution, in accordance with its rules and procedures in effect at the time of filing.

19.3. The arbitration shall be conducted in the English language. The arbitrator's decision shall be final and binding upon both parties and may be entered as a judgment in any court of competent jurisdiction.

19.4. Notwithstanding the foregoing, Meveridge reserves the right to seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or to prevent irreparable harm.

19.5. These dispute resolution provisions do not prevent either party from filing a complaint with a relevant regulatory authority.

20. Amendments and Modifications

20.1. Meveridge reserves the right to modify, amend, or update these Terms at any time. Material changes shall be communicated to Users through in-platform notifications, email, or announcements in the LUMI → News section.

20.2. Significant operational changes that materially affect User investments, commission structures, or platform mechanics may be subject to community consultation via the VOTE HUB, guided by AI ORACLE analysis.

20.3. Your continued use of the Platform following the publication of amended Terms constitutes your acceptance of such amendments. If you do not agree to the amended Terms, you must cease using the Platform and initiate the withdrawal of your available funds.

21. Governing Law

21.1. These Terms shall be governed by and construed in accordance with applicable laws and regulations. Any disputes not resolved through arbitration shall be adjudicated in the competent courts having jurisdiction.

21.2. Nothing in these Terms shall affect any mandatory consumer protection rights that cannot be waived or limited by agreement under the laws of your jurisdiction.

22. General Provisions

22.1 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.

22.2 Entire Agreement

These Terms, together with the Privacy Policy, AML & CFT Policy, Risk Disclosure, Cookie Policy, Refund & Cancellation Policy, Affiliate Program Agreement, and Acceptable Use Policy, constitute the entire agreement between you and Meveridge and supersede all prior agreements, understandings, and representations.

22.3 Waiver

The failure of Meveridge to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

22.4 Assignment

Meveridge may assign its rights and obligations under these Terms to a successor entity in the event of a merger, acquisition, or sale of substantially all of its assets. You may not assign your rights or obligations under these Terms without Meveridge's prior written consent.

22.5 Language

These Terms are drafted in the English language. In the event of a conflict between the English version and any translation, the English version shall prevail.

This document does not constitute legal, financial, or investment advice. Users are encouraged to seek independent professional counsel before making investment decisions or entering into any agreement. By using the Meveridge Platform, you acknowledge that you have read, understood, and accepted these Terms of Use in their entirety.
